ACKNOWLEDGMENT AND ACCEPTANCE OF SERVICE AGREEMENT

By completing the service registration form, you represent and warrant that you are 18 years of age or older, that you agree to provide true, accurate, current and complete information (including an accurate email address) as prompted by the registration form, and that you agree to be bound by this agreement.
LoD reserves the right, in its sole discretion, in the future, to change, modify, add or remove all or part of the Agreement at any time.

APPLICANT PRIVACY

LoD maintains information about Applicant on LoD servers, including but not limited to Applicant's registration information. Applicant agrees that LoD may disclose such information in the good faith belief that such action is reasonably necessary: (a) to comply with the law or legal process; (b) to enforce this Agreement; or (c) to protect the rights or interests of LoD or others; provided, however, that nothing in this section shall impose a duty on LoD to make any such disclosures.
LoD may contact Applicant regarding LoD list of directory services using the Applicant's email address provided during the registration process (or as updated by Applicant).

DISCLAIMER OF WARRANTIES AND LIABILITIES

The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Neither this agreement nor any documentation furnished under it is intended to express or imply any warranty that the service will be uninterrupted, timely or error-free. Some jurisdictions do not allow the exclusion or limitation of implied warranties, so some of these exclusions may not apply to you.
LoD, and its parents, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, shall not be liable, under any circumstances or legal or equitable theories whatsoever, for any loss of business, profits or goodwill, loss of use or data, interruption of business, or for any indirect, special, incidental or consequential damages of any character, even if LoD is aware of the risk of such damages, that result in any way from applicant's use of or inability to use this service, LoD acceptance or rejection of a suggested directory, or LoD continued listing of a directory in the directory.
LoD liability to applicant shall not, for any reason, exceed the amount actually paid by applicant to LoD under this agreement.

DESCRIPTION OF LoD INCLUSION SERVICE

LoD registration is a fee-based expedited service provided by ListOfDirectory.com to consider your web directory for inclusion in LoD list of directory located at listofdirectory.com. Inclusion of the Directory is not guaranteed.
In order for LoD to consider your directory for featured/premium inclusion in the list of directory, you must submit a valid PayPal payment as part of the registration form. You agree that your PayPal account will be charged the then current, applicable NON-REFUNDABLE fee for featured/premium consideration for LoD. However, LoD reserves the right to remove your directory if it fails to meet the minimum criteria.
The fee for initial consideration in the list of directory is a NON-REFUNDABLE, applicable for each directory submitted that does not include adult content and/or services. Your payment only guarantees that LoD will consider and respond to your request within 24 hours (working days only), by either accepting or not accepting your directory.
Nothing in this agreement obligates LoD to list, link to, accept or otherwise host your directory anywhere on LoD. in addition, if your directory is accepted, nothing in this agreement obligates LoD to place your directory within a specific category or subcategory of the directory, or to provide any comments or annotations with the listing of your directory.

MINIMUM DIRECTORY CRITERIA

All directories submitted to LoD must meet the following minimum criteria:

• The directory must not have any pornographic content/ objectionable or offensive content or should not malign any religious group or sentiments;
• The directory must contain substantively quality contents, as determined by LoD editorial staff;
• The directory must not contain any parts under construction;

These criteria are minimum requirements only, and LoD, in its sole discretion, may consider other criteria before accepting or rejecting a directory.

SELECTION AND LISTING

LoD reserves the right to decide whether, where, and how a directory is listed in the list of directory. If LoD accepts your directory for inclusion in the list of directory, LoD will consider your preferences, but reserves the right to list your directory in any category or subcategory as LoD deems appropriate, in its sole discretion. Once LoD accepts a directory for inclusion in the list of directory, that directory shall be treated as any other listing in the list. LoD reserves the right not to include any specific keywords, comments, or annotations with the listing.
LoD also reserves the right, in its sole discretion, to remove your directory from the list, move the listing to a different category or subcategory, and change or remove any keywords, comments, or annotations at any time, for any reason, including but not limited to, a change in the nature, business, goods, or services or content available on the directory.

FEEDBACK

LoD will contact Applicant by email describing whether the directory has been accepted or rejected. If the directory is rejected, Applicant is entitled to request one reconsideration, or appeal, of the directory at no additional charge by sending an email to the address provided by LoD. LoD must receive the Applicant's email within thirty days from the date that LoD transmits the rejection email to the Applicant. If the request is timely received, LoD will again review the Applicant's directory and will then notify Applicant of its final decision regarding including the directory in the list. If LoD reaffirms its denial of the directory, no further appeals or submissions will be considered. If LoD accepts a suggested directory, Applicant is entitled to request one reconsideration of the placement of the directory, description field, title, etc, at no additional charge by sending an email to the address provided by LoD. LoD must receive the Applicant's email within thirty days from the date that LoD transmits the acceptance email to the Applicant. If the request is timely received, LoD will again review the Applicant's directory and will then notify Applicant of its final decision regarding the directory.

PARTICIPATION

If you wish to discontinue participation in the LoD web directory program, you must send a notice to LoD. Please state that you wish to withdraw your directory from LoD. Once LoD receives such notification from you, your participation in the LoD program will cease and your listing will be removed before the end of the year.

SUBMISSIONS MANAGEMENT

Coupon code means that users will be redirected to the page for inclusion on the directory website, and must manually enter the code in the coupon field.
Currently, the inclusion of a coupon code in the list is free.
Internal management means that users will fill out the form for inclusion on List of Directory, and make payment to our PayPal account.
The balance of submissions will be visible from the control panel of the owner, where he can also choose the minimum payment threshold: $25, $50 or $100.
Payments are made automatically once a month, or when the threshold is reached. We withhold $2 for each submission.
The form will be customized according to the criteria chosen by the owner of the directory, as the number of deeplinks and the cost of inclusion.
For more options, such as the choice of category and terms of service, the user is returned to the directory.

RECIEVING THE SUBMISSIONS

Upon receipt of a submission fee, inclusion data (title, url, description, etc.) will be automatically forwarded by email to the owner of the directory.
He must approve the inclusion, or contact the webmaster who made the submission for clarification within the time specified in terms of directory service.
The owner of the directory will be prompted to enter, on LoD, the exact URL of the page where the submission has been published.
After verification by the staff of LoD, the procedure is completed, and revenues will be visible in the balance of the user (control panel).

If we receive complaints about the time of inclusion, we may at our discretion choose to ban the offending directory from LoD.

COUPON CODES AND INTERNAL SUBMISSIONS

We offer a list of discounts and coupons for inclusion in directories.
For inclusions with coupons, we do not warrant any refund and you can claim only on the terms of service of the directory where your website is submitted.
For internal inclusions, those in which you fill in the form of submission on LoD (internal submissions), we have strict rules that ensure inclusion to the webmaster or a full refund.
The owners of the directories are paid only when the process of inclusion is completed, until then the funds are available for any refunds.

INTERNAL SUBMISSIONS PROCEDURE

After filling the form, and completing payment, your inclusion will be automatically forwarded to the owner of the directory.
Within a few days after the submission, you will receive an email with the address of the page where your link was posted.
You can check the status of inclusion on your control panel, and eventually ask for a refund.
Refunds are granted if the elapsed time for activation is higher than suggested by the terms of directory service.

The owner of the directory still receive your payment at the end of the procedure, then approval is basically assured.
